Immigration plans
If your plans include immigration to the United States, you must first consult with an immigration attorney. The lawyer will tell you what criteria of the immigration service the acquired business must meet. Another aspect that needs to be answered by the lawyer is the type of visa that you have to obtain for the period of searching for a business and closing a transaction after entering the United States.
Search criteria
Before you start sorting through the options of what is on the market, you need to:
decide on the financial criteria - budget (maximum purchase price),
determine the minimum return on investment,
choose the target industry (restaurant, production, etc.), and
outline the geography of the search.
Database Search
You can conduct a preliminary search yourself or entrust it to a broker. Unfortunately, most databases publish very limited information about the businesses on the market. The number of employees (an important indicator for the immigration office) is usually not available for the public. The broker can search by all criteria, which, of course, frees up your time for more important things.
Confidentiality
In order to receive proprietary information about the businesses you have chosen, you have to sign a confidentiality agreement (NDA). Business sellers usually do not want their intentions to sell a business to become widely known before the deal is closed. After receiving the NDA, the seller provides part of the private information. You can get all of the information at the due diligence stage.
Offer
Based on the information received, you can make a counter-offer to the seller. Part of this proposal may contain a list of documents that you want to receive for a comprehensive review. Before an agreement on the price and other terms of the transaction is reached, the seller most likely will give you only part of the requested documents. When you reach an agreement on the price, you can proceed to due diligence.
